# **GameDev.tv Affiliate Program Terms and Conditions**

Please read these terms and conditions carefully — **participation means acceptance!**

These Affiliate Program Terms and Conditions (“**Program Terms**”) govern your participation in the [GameDev.tv](http://GameDev.tv) Affiliate Program (“**Program**”) and form a binding agreement between you and **EmbraceIt Limited (company number 05194402)** of 10 Riverside, Framlingham, Woodbridge, Suffolk, England, IP13 9AG United Kingdom (“**GameDev.tv**,” “**we**,” “**our**,” or “**us**”).

By participating in the Program or accessing any materials provided by GameDev.tv in connection with it, you confirm that you are at least 18 years of age (or the age of legal majority where you reside) and that you understand and agree to these Program Terms. If you are entering into these Program Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and all references to “you” and “your” will refer to that entity.

## 1. The Program

If you meet the eligibility requirements and are accepted, the Program allows you to earn commissions for qualifying purchases made on GameDev.tv’s websites through your unique affiliate links, tracked via **Tapfiliate**, our platform provider. These Program Terms, along with Tapfiliate’s own terms, govern your participation.

## 2. Registration and Eligibility

2.1 You must submit an application for registration, which GameDev.tv reserves the right to accept or reject at its sole discretion.

2.2 Upon acceptance, you may participate in the Program in accordance with these Program Terms and Tapfiliate’s Terms of Use.

2.3 You must comply at all times with:

- these Program Terms;

- the **Affiliate Qualifications** and **Eligibility Criteria** listed below; and

- all applicable advertising, marketing, and consumer protection laws, including FTC and UK CMA disclosure requirements.

## 3. License and Ownership

3.1 Subject to these Program Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

- use GameDev.tv content and marketing materials (“**GameDev.tv Content**”) on your sites and channels solely to promote GameDev.tv courses, bundles, and related products; and

- use the **GameDev.tv Marks** solely for this purpose.

3.2 GameDev.tv and its licensors retain all ownership and intellectual property rights to GameDev.tv Content and Marks. All goodwill arising from their use inures to GameDev.tv.

3.3 You may not alter, edit, or misrepresent GameDev.tv Content in any way.

3.4 If you provide any feedback, suggestions, or improvements (“**Feedback**”), you grant GameDev.tv a worldwide, perpetual, royalty-free license to use and incorporate that Feedback for any purpose.

## 4. Payments and Commissions

Commissions are tracked and paid via **Tapfiliate** according to the rates, thresholds, and schedules displayed in your Tapfiliate dashboard or as otherwise communicated by GameDev.tv.

Attribution of referrals is handled via Tapfiliate’s tracking technology, typically with a **7-day referral window** unless otherwise specified. GameDev.tv reserves the right to adjust commission structures or disqualify fraudulent or cancelled transactions.

## 5. Privacy and Communications

5.1 You acknowledge GameDev.tv’s [Privacy Policy](https://www.gamedev.tv/privacy) and agree that we may contact you regarding the Program and other GameDev.tv products or services.

5.2 We may audit or review your websites, social channels, or affiliate links to ensure compliance with these Program Terms and applicable laws.

## 6. Disclosure and Conduct

6.1 You must clearly disclose your affiliate relationship with GameDev.tv whenever promoting our products, in compliance with **FTC** and **CMA** guidelines. For example:

> “As a GameDev.tv affiliate, I may earn from qualifying purchases.”

6.2 You must not misrepresent your relationship with GameDev.tv, imply endorsement, or present yourself as an employee or agent.

6.3 You may not run or fund any paid advertisements - including, but not limited to, search engine ads (e.g. Google Ads, Bing Ads), display ads, or social media ads - that link directly or indirectly to GameDev.tv websites or that use GameDev.tv trademarks, URLs, or brand names as keywords, ad text, or targeting parameters.

6.4 You must not promote GameDev.tv on sites or channels containing offensive, misleading, or illegal content, or through deceptive, incentivised, or spam-like methods.

## 7. Term and Termination

7.1 GameDev.tv may terminate your participation at any time, with or without cause, by written notice (including email). Termination due to a breach of these Program Terms relieves GameDev.tv of any obligation to pay pending commissions.

7.2 You may terminate your participation via your Tapfiliate account.

7.3 Upon termination, you must immediately remove all GameDev.tv Content, disable affiliate links, and cease representing yourself as a GameDev.tv affiliate.

## 8. Expenses

You are solely responsible for all costs and expenses related to your participation in the Program, including website hosting, advertising, and taxes.

## 9. Limitation of Liability

To the fullest extent permitted by law, GameDev.tv’s total aggregate liability to you arising from or relating to the Program is limited to **one hundred US dollars (US$100)**. GameDev.tv shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

## 10. No Warranties

The Program, Tapfiliate platform, and all GameDev.tv Content are provided **“as is”** without warranties of any kind, express or implied. GameDev.tv makes no guarantee that the Program will operate continuously or without error.

## 11. Indemnity

You agree to indemnify and hold harmless GameDev.tv, its affiliates, officers, employees, and licensors from any claims, damages, or expenses arising from:

- your participation in the Program;

- your websites or promotional activities; or

- your breach of these Program Terms or any applicable law.

## 12. Independent Contractors

You and GameDev.tv are independent contractors. Nothing in these Program Terms creates a partnership, agency, or employment relationship. You may not represent yourself as an agent of GameDev.tv or bind us in any way.

## 13. Governing Law and Dispute Resolution

13.1 These Program Terms are governed by and construed in accordance with the laws of **England and Wales**.

13.2 You agree that the **courts of England and Wales** shall have exclusive jurisdiction over any disputes arising out of or relating to these Program Terms.

13.3 Nothing in this section limits either party’s right to seek injunctive relief for intellectual property or confidentiality breaches.

## 14. General

- These Program Terms constitute the entire agreement between you and GameDev.tv regarding the Program.

- If any provision is held invalid, the remaining terms remain in full force and effect.

- You may not assign or transfer your rights without GameDev.tv’s prior written consent. GameDev.tv may assign or delegate its rights and obligations at any time.

- Failure by GameDev.tv to enforce any provision shall not constitute a waiver of its rights.

## 15. Definitions

- **Affiliate Link**: A unique link generated through Tapfiliate directing users to GameDev.tv Properties.

- **Commission**: The earnings you receive for qualifying purchases, as defined in your Tapfiliate account.

- **Eligibility Criteria**: You must be over 18, legally permitted to participate, and not a resident of any embargoed country.

- **GameDev.tv Content**: Marketing materials, assets, and tools provided by GameDev.tv for affiliate use.

- **Properties**: Any GameDev.tv websites or digital platforms offering products for sale.

- **Tapfiliate**: The third-party affiliate management platform used to track, attribute, and pay commissions.

- **Your Site(s)**: Any website, channel, or platform you use to promote GameDev.tv through affiliate links.
